How this calculator works
The shares' fair market value on the vesting date is wage income (IRS Publication 525). The employer withholds federal tax at the flat supplemental rate of 22%, or 37% on the part of the year's supplemental wages above $1,000,000 (IRS Publication 15), plus Social Security at 6.2% until your wages for the year reach the wage base, Medicare at 1.45%, and 0.9% more once they pass $200,000. State withholding is the rate you enter times the vest value; the picker fills each state's published flat rate or, for a state without one, an estimate. Shares sold to cover are the whole shares needed at the vest price to pay all of it. What is withheld is a prepayment: the vest is taxed with your other income on your return, and a later sale is a capital gain or loss measured from the vest-day value.

RSU withholding by state
Each row runs the calculator on 200 shares vesting at $75 ($15,000) with $150,000 of wages earlier in the year. Federal withholding ($3,300) and Social Security and Medicare ($1,147) are the same in every state. 22 states publish a flat supplemental rate; the /bonus-tax/ table quotes each state's rule.

Rates: each state's 2026 withholding publication, read 2026-10-08 (listed below); a state without a published flat rate withholds on the vest together with regular pay, so its row is an estimate and your employer's figure depends on your withholding certificate. Frequently Asked Questions
How much tax is withheld when RSUs vest?
For 200 shares vesting at $75 ($15,000) after $150,000 of earlier wages, every state's employer withholds $3,300 of federal tax and $1,147 of Social Security and Medicare. In the 9 states with no wage tax that sells 60 shares to cover; the most is 83 shares in New York.
Why can I owe more tax on RSUs at filing time?
The 22% federal rate is a withholding rate, not your bracket. If your salary and vests together reach the 24% bracket or higher, the vest was under-withheld and the difference is due with your return; the same can happen with a state that withholds a flat rate below your top state bracket.
